FRANCHISE AGREEMENT
THIS FRANCHISE AGREEMENT (the "Agreement") is made and entered into this [Date] by and between:
[Franchisor Name], a [State of Formation] corporation with its principal place of business at [Franchisor Address] ("Franchisor"); and
[Franchisee Name], a [State of Formation] corporation with its principal place of business at [Franchisee Address] ("Franchisee").
WITNESSETH:
WHEREAS, Franchisor is the owner of a unique and proprietary system for operating a [Type of Business] business (the "System"); and
WHEREAS, Franchisee desires to obtain the right to operate a [Type of Business] business using the System;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:
1. Grant of Franchise
1.1 Franchisor hereby grants to Franchisee a non-exclusive, non-transferable franchise to operate a [Type of Business] business using the System in the territory described in Exhibit A (the "Territory").
1.2 The term of the Franchise shall be for a period of [Number] years from the date of this Agreement (the "Term").
2. Franchise Fee
2.1 Franchisee shall pay to Franchisor a franchise fee in the amount of [Amount] (the "Franchise Fee"). The Franchise Fee shall be payable in [Number] installments of [Amount] each, due on the following dates:

2.2 The Franchise Fee is non-refundable and shall be used by Franchisor to cover the costs of developing and maintaining the System.
3. Royalties

3.2 The Royalty is non-refundable and shall be used by Franchisor to cover the costs of providing ongoing support and services to Franchisee.

4.1 Franchisee shall contribute [Percentage]% of Franchisee’s gross sales to an advertising fund (the "Advertising Fund"). The Advertising Fund shall be used by Franchisor to promote the System and increase brand awareness.

5. Training and Support
5.1 Franchisor shall provide Franchisee with comprehensive training in the System. The training shall include instruction in the following areas:

6.3 Franchisee shall hire and train employees in accordance with Franchisor’s standards.
6.4 Franchisee shall promote the System and the Franchise in a positive and professional manner.
7. Franchisor’s Obligations
7.1 Franchisor shall provide Franchisee with the training and support described in Section 5.
7.2 Franchisor shall protect the System and the Franchisee’s goodwill.
7.3 Franchisor shall provide Franchisee with access to Franchisor’s trademarks, trade names, and other intellectual property.
8. Term and Termination
8.1 The Term of this Agreement shall be for a period of [Number] years from the date of this Agreement.
8.2 This Agreement may be terminated by either party for breach of any material provision of this Agreement.
8.3 Upon termination of this Agreement, Franchisee shall immediately cease using the System and all of Franchisor’s trademarks, trade names, and other intellectual property.

10. Entire Agreement
