PARTNERSHIP AGREEMENT
THIS PARTNERSHIP AGREEMENT (this "Agreement") is entered into this [date] by and between:

[Name of Partner 2] ("Partner 2"), a [state of incorporation] corporation with its principal place of business at [address of Partner 2].
WITNESSETH:
WHEREAS, Partner 1 and Partner 2 desire to form a partnership (the "Partnership") to engage in the business of [brief description of business]; and

1. Name and Purpose

2. Capital Contributions
