In a limited partnership, only the general partners are personally liable for the debts and obligations of the partnership. In a limited liability partnership, all partners have limited liability for the debts and obligations of the partnership.
  • Dissolution of Partnerships: Partnerships are dissolved upon the occurrence of certain events, such as the death or withdrawal of a partner, the bankruptcy of a partner, or the expiration of the term of the partnership.
